1. Agreement to Terms

Welcome to thelocalhello.com (the “Site”) operated by The Local Hello (“we,” “us,” or “our”). By accessing or using the Site, any related websites, forms, or services provided by us (collectively, the “Services”), you (“you,” “your,” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Services.

2. Eligibility

You represent and warrant that you are at least 18 years old and have full legal capacity to enter into these Terms. If you are accessing or using the Services on behalf of a business, organization, or brokerage firm, you represent and warrant that you have the legal authority to bind that entity to these Terms.

3. Services Description

The Local Hello offers a service connecting new homeowners, referral brokers/agents, and local businesses via curated welcome baskets, coupon books, and partner listings. Brokers/Agents may use the Site to schedule basket deliveries. Local Businesses may use the Site to apply for participation, submit coupon offers, or renew participation. Homeowners and partners may use the Site to submit forms or requests.
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

4. User Accounts & Forms

When you submit a form (e.g., broker sign‑up, business partner application, homeowner registration, coupon submission), you agree to provide accurate, current and complete information. You agree to update your information where necessary.
We may use third‑party service providers (e.g., Wix, Google Sheets, CRM tools) to host, process, and manage your data.
You agree not to share login credentials where applicable, and you are responsible for maintaining the confidentiality of any account you create.

5. Payments, Pricing & Renewals

For business partners and broker/agent services where payment is required (e.g., business placement in baskets, bulk orders of baskets, renewal cycles), you agree to pay all applicable fees and charges in accordance with the payment terms posted on the Site or provided during signup.
We reserve the right to change prices, fees or payment methods at any time; changes will be effective for future cycles.
If you are entering a renewal cycle (for example a 300‑basket cycle for business placement), you must submit renewal forms and any required payment by the deadline to continue participation.

6. Cancellation & Refunds

Unless otherwise stated in a separate agreement, you may cancel your participation by providing written notice [insert method] by the specified deadline. Refunds, if any, will be handled according to the applicable policy provided in the “Refund & Cancellation Policy” page.
We are not responsible for deliveries, results, or business leads if cancellation or changes are requested after applicable deadlines.

7. Acceptable Use

You agree that you will not:

• Use the Services in any way that violates applicable law or regulation.

• Use the Services for fraudulent or illegal purposes.

• Upload or submit any content or material that is harmful, defamatory, infringing, obscene, or otherwise objectionable.

• Attempt to interfere with the functioning of the Services, or attempt to access parts of the Site or Services you are not authorized to use.

• Use automated means (bots, scrapers) to access or collect data from the Site, unless we explicitly permit it.

8. Intellectual Property

All content, design, trademarks, logos, images, text, and other materials on the Site (the “Content”) are owned by The Local Hello or its licensors and are protected by U.S. and international intellectual property laws.
You may not reproduce, distribute, modify, display or otherwise use any of the Content except as expressly authorized in writing by us.
If you submit any materials (e.g., logos, coupon offer content) you grant us a royalty‑free, worldwide, perpetual license to use, reproduce, modify and display that material in connection with the Services.

9. Third‑Party Services & Links

The Site may contain links to third‑party websites, services or resources. We are not responsible for the availability, content or practices of such third parties, and linking does not imply endorsement.
Your use of any third‑party services is governed by the terms and privacy policies of those services.

10. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. We make no representations or warranties of any kind, express or implied, regarding the operation of the Site or the results you may achieve.
We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness or non‑infringement.

11. Limitation of Liability

To the fullest extent permitted by law, The Local Hello, its affiliates, officers, directors, employees and agents will not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, business interruption, data loss) arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
In no event shall our aggregate liability exceed the amount you have paid us in the immediately preceding payment cycle (if any) or $100, whichever is greater.

12. Indemnification

You agree to defend, indemnify and hold harmless The Local Hello and its affiliates, officers, directors, employees and agents from and against all losses, liabilities, claims, damages, costs and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Services.

13. Termination

We may suspend or terminate your access to the Services, your account, or participation at any time, with or without cause, and with or without notice. Upon termination, your rights to use the Services will immediately cease. Sections about intellectual property, disclaimers, limitations of liability, indemnification etc., will survive termination.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Bucks County, Pennsylvania, USA.

15. Changes to These Terms

We may update or replace these Terms at any time in our sole discretion. We will post the “Last Updated” date at the top of this page. Your continued use of the Services after changes constitutes acceptance of those changes.
